Terms & Conditions
These terms govern all services provided by Thepa Tech. Please read them with care.

1. Introduction and Scope
These Terms and Conditions ("Terms") apply to all services provided by Thepa Tech, operating from 130 Ploenchit Road, Lumphini, Bangkok 10330, Thailand ("Thepa Tech", "we", "us"). By engaging our services, requesting a Foundation Tier Review, or signing an engagement agreement, you agree to be bound by these Terms.
These Terms should be read alongside any written engagement agreement ("Scope Document") issued for a specific service. In the event of a conflict between these Terms and a Scope Document, the Scope Document shall take precedence in relation to the matter it specifically addresses.
2. Services Offered
Thepa Tech currently offers three service tiers, described below. The scope and deliverables of each engagement are defined in the written Scope Document agreed before work begins.
Foundation Tier Review
A workflow assessment service resulting in a written options report. This tier does not include any integration work. The deliverable is the report itself, which you retain regardless of whether you engage further services.
Fixed fee: ฿4,900 (excl. VAT)
Structured Integration
Configuration and testing of an AI assistant within one designated system, including documentation and a team handover session. Estimated duration is approximately five weeks from the agreed start date, subject to client availability for sessions.
Fixed fee: ฿11,200 (excl. VAT)
Enduring Support Plan
An ongoing monthly retainer covering monitoring, maintenance, and quarterly review of an existing integration. The plan requires a minimum engagement of three months. Either party may terminate the plan with thirty days' written notice after the minimum period.
Monthly fee: ฿17,500 (excl. VAT)
3. Engagement Process
All engagements begin with an initial discussion, after which Thepa Tech will issue a written Scope Document outlining the work to be performed, the timeline, the deliverables, and the fee. No work commences until the Scope Document has been accepted in writing by the client.
Changes to the agreed scope — including additions to deliverables, changes to system targets, or extensions of timeline — require written agreement from both parties before the change is implemented. Thepa Tech will not perform out-of-scope work without a revised or supplementary Scope Document.
Thepa Tech reserves the right to decline any engagement request at its discretion, without being required to give a reason.
4. Client Responsibilities
To allow Thepa Tech to carry out work effectively, the client agrees to:
- Provide access to the relevant team members and systems as agreed in the Scope Document.
- Attend scheduled sessions and respond to queries within a reasonable time, generally two working days.
- Ensure that any data or system access provided to Thepa Tech is done with appropriate internal authority and does not breach any third-party agreements.
- Notify Thepa Tech promptly of any changes to the operating environment, software stack, or business circumstances that may affect the work.
Thepa Tech's ability to meet agreed timelines depends on the client fulfilling these responsibilities. Delays arising from the client's side do not entitle the client to a reduction in the agreed fee.
5. Payment Terms
All fees are quoted and invoiced in Thai Baht (THB). Quoted prices are exclusive of Value Added Tax (VAT), which will be added to invoices at the applicable rate under Thai law.
For the Foundation Tier Review and Structured Integration, payment is due within fourteen calendar days of invoice date. For the Enduring Support Plan, invoices are issued monthly in advance and are due within seven calendar days.
Thepa Tech reserves the right to suspend work on an active engagement if an invoice becomes more than fourteen days overdue and the client has not contacted us to arrange a payment plan. Work will resume once the overdue balance has been settled.
No refund is available on work already carried out. If an engagement is cancelled by the client after commencement, fees for work completed to that point remain payable.
6. Intellectual Property
Unless otherwise agreed in writing, all reports, documentation, and configuration materials produced by Thepa Tech during an engagement become the property of the client upon receipt of full payment for that engagement.
Thepa Tech retains the right to use general methodologies, frameworks, and non-client-specific knowledge developed during engagements. We will not share client-specific data, system details, or confidential business information with any third party.
7. Confidentiality
Both parties agree to treat as confidential all information shared during an engagement that is not in the public domain. This obligation applies from the first session and continues for two years after the engagement ends.
Thepa Tech will not reference the client's name in any marketing or public communication without prior written consent. Clients may, of course, share their experience with Thepa Tech freely.
8. Data Protection
Any personal data accessed or processed during an engagement is handled in accordance with the Personal Data Protection Act B.E. 2562 (PDPA) of Thailand. Thepa Tech processes such data solely for the purpose of delivering the agreed services.

9. Limitation of Liability
Thepa Tech will carry out all work with reasonable care and professional competence. However, AI integration involves a degree of technical and operational uncertainty. Thepa Tech does not represent that any integration will achieve a specific business outcome, nor does it accept liability for changes in the performance of third-party AI tools outside its control.
Our total liability to a client in connection with any engagement is limited to the fees paid for that specific engagement. We do not accept liability for indirect loss, consequential loss, loss of profit, loss of data, or any claim arising from a third-party system's behaviour.
Nothing in these Terms limits liability that cannot be limited under applicable Thai law.
10. Termination
Either party may terminate an engagement by written notice if the other party materially breaches these Terms and fails to remedy that breach within fourteen days of receiving written notice of the breach.
Thepa Tech may also suspend or terminate an engagement immediately if asked to carry out work that, in our reasonable assessment, would be unlawful, unethical, or harmful to third parties.
11. Governing Law and Disputes
These Terms are governed by the laws of the Kingdom of Thailand. Any dispute arising from or in connection with these Terms or any engagement with Thepa Tech shall be subject to the exclusive jurisdiction of the courts of Bangkok.

12. Changes to These Terms
Thepa Tech may update these Terms from time to time. Changes will be published on this page with an updated date. For clients with active engagements, material changes will be communicated in writing at least thirty days before they take effect. Continued use of our services after that date constitutes acceptance of the updated Terms.
